These Terms of Service (“Terms”) govern your access to and use of the Chatzi platform, website, applications, and related services (collectively, the “Services”). By accessing or using Chatzi, you agree to be bound by these Terms.
1. Overview
Chatzi AI Solutions FZE LLC (“Chatzi”, “we”, “our”, or “us”) provides an AI-powered customer communication platform that enables businesses and clients to manage conversations, automate customer support, deploy AI agents, build knowledge bases, and communicate with customers across multiple communication channels. These Terms apply to all businesses, clients, users, and authorized personnel who access or use the Chatzi platform.
2. Account Registration
To use certain features of the Services, you may be required to create an account. You agree to:
• Provide accurate and complete information during registration
• Maintain the confidentiality of your login credentials
• Ensure that only authorized users access your business or client account
• Notify us immediately if you suspect unauthorized use of your account
You are responsible for all activities that occur under your account.
3. Acceptable Use
When using the platform, you agree not to:
• Send spam, unsolicited, deceptive, or bulk messages that violate messaging platform policies
• Conduct illegal, fraudulent, misleading, or abusive activities
• Distribute harmful, malicious, unlawful, or infringing content
• Attempt to interfere with the operation, performance, or security of the platform
• Access the system using unauthorized methods
• Use the Services in a way that violates applicable laws or third-party platform policies
Chatzi reserves the right to suspend or terminate accounts that violate these rules. Businesses and clients are responsible for ensuring that their use of Chatzi complies with all laws and regulations applicable to their business, customers, and country of operation, including privacy, data protection, marketing, consumer protection, and electronic communications laws.
4. Third-Party Communication Platforms
Chatzi may integrate with external communication platforms such as WhatsApp, Facebook, Instagram, Telegram, email, live chat, and other supported communication channels. These services are operated by third parties and are subject to their own policies, terms of service, technical requirements, and approval processes. Chatzi is not responsible for restrictions, suspensions, service interruptions, account limitations, message delivery issues, or policy changes imposed by these external platforms.
Businesses and clients are responsible for complying with the policies, consent requirements, and messaging rules of the communication channels they connect to Chatzi. Businesses and clients are responsible for obtaining any required customer consents, permissions, or opt-ins before sending messages or using connected communication channels through Chatzi.
5. AI Services and Knowledge Base
Some Chatzi features use Artificial Intelligence to assist businesses and clients in communicating with customers, generating responses, automating support, and retrieving information from uploaded or connected knowledge base content.
Businesses and clients are responsible for reviewing AI-generated responses before relying on them in critical, legal, financial, medical, or high-risk situations. Chatzi does not guarantee that AI-generated responses will always be accurate, complete, or suitable for every situation. AI-generated responses do not constitute legal, financial, medical, or professional advice.
Businesses and clients are responsible for the documents, web pages, FAQs, instructions, and other materials they upload or connect to the Chatzi Knowledge Base.
Businesses and clients represent that they have the necessary rights and permissions to upload, connect, or use any content, documents, websites, FAQs, instructions, or materials within Chatzi.
6. Subscriptions and Billing
Certain features of the Services may require a paid subscription. By subscribing to a paid plan, you agree that:
• Subscription fees will be billed according to the selected plan
• Payments must be made according to the agreed billing cycle
• Usage-based charges, add-ons, or additional services may apply where applicable
• Failure to pay may result in suspension or limitation of the Services
Unless otherwise stated, subscription payments are non-refundable.
7. Data Ownership
Businesses and clients using Chatzi retain ownership of the customer communication data, contacts, messages, attachments, internal notes, tags, and knowledge base content stored within the platform. Chatzi processes this data only for the purpose of providing, maintaining, securing, and supporting the Services requested by the business or client using Chatzi. Our collection, use, processing, and protection of information is described in our Privacy Policy.
8. Data Security and Access
Chatzi implements security measures designed to protect business and customer data, including encrypted data transmission, access controls, authentication mechanisms, and secure infrastructure. Customer communication data stored within the platform belongs to the business or client using Chatzi.
Chatzi does not access or review customer communication data except when necessary to provide technical support, troubleshoot issues, maintain security, improve platform reliability, or comply with legal obligations. Access to systems and customer data is governed by internal security controls and is limited to authorized personnel where necessary.
9. Platform Availability
Chatzi strives to maintain reliable platform availability, performance, and security. However, the Services are provided on an “as is” and “as available” basis, and Chatzi does not guarantee uninterrupted, error-free, or delay-free operation. Platform availability may also depend on third-party services, communication platforms, hosting providers, internet connectivity, payment providers, and AI service providers.
10. Limitation of Liability
To the maximum extent permitted by law, Chatzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:
• Use or inability to use the Services
• Platform interruptions, delays, or technical issues
• Third-party service disruptions or policy changes
• Message delivery failures or communication channel restrictions
• AI-generated responses or automated actions
• Unauthorized access to user accounts or data where such access is not caused by Chatzi’s proven misconduct
11. Termination
Chatzi may suspend or terminate access to the Services if businesses, clients, users, or authorized personnel violate these Terms, fail to pay applicable fees, misuse the platform, or engage in activities that may harm Chatzi, other users, third-party platforms, or customers. Businesses and clients may terminate their account at any time by contacting support.
12. Changes to the Services
Chatzi may modify, update, improve, limit, or discontinue certain features of the platform from time to time. We may also update integrations, AI features, billing options, supported communication channels, and technical requirements as the platform evolves. Chatzi may apply usage limits, fair usage rules, rate limits, or technical restrictions to protect the platform, prevent abuse, and ensure reliable service for all businesses and clients.
13. Changes to These Terms
Chatzi may update these Terms from time to time to reflect changes to our Services, legal requirements, business operations, or platform policies. Updated versions will be published with a revised “Last Updated” date. Continued use of the Services after updates indicates acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.
